Terms of Sale

Article 1 - Scope

These Terms of Sale (hereinafter "Terms") govern all sales of products or services (hereinafter "Products" or "Services") by SPINTAO SAS, a French simplified joint-stock company with capital of 6,000 euros, registered with SIRET number 943 598 839 000 18, with its registered office at 63 rue René de Prie, 37000 Tours, France (hereinafter "SPINTAO", "we", "us", or "our") to any customer (hereinafter "Customer" or "you").

Important Note: SPINTAO does not currently offer any products or services for sale through the website spintao.com. These Terms of Sale are provided for informational purposes and will apply to any future commercial offerings.

Article 2 - Acceptance

Any order placed with SPINTAO implies unreserved acceptance of these Terms. SPINTAO reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date of the order.

Article 3 - Products and Services

Products and Services offered for sale are described on the Site with the greatest possible accuracy. However, if errors or omissions occur in the descriptions, SPINTAO's liability cannot be incurred. Photographs and graphics accompanying the descriptions do not constitute a contractual commitment and cannot be perfectly representative.

Article 4 - Prices

Prices are indicated in euros (EUR) and include all applicable taxes unless otherwise stated. SPINTAO reserves the right to modify its prices at any time but undertakes to apply the prices in effect at the time of the order. Prices do not include delivery costs, which are invoiced in addition and indicated before order validation.

Article 5 - Orders

Orders can be placed on the Site or by contacting SPINTAO directly at arnaud@spintao.com. The Customer must follow the indicated ordering process and validate their order after verifying its content and correcting any errors. The order is considered final once payment is confirmed. SPINTAO reserves the right to refuse or cancel any order from a Customer with whom there is a payment dispute.

Article 6 - Order Confirmation

SPINTAO will send an order confirmation by email to the address provided by the Customer. This confirmation includes order details, total price including taxes, estimated delivery time, and payment information. In case of unavailability of an ordered Product or Service, the Customer will be informed as soon as possible and may choose a replacement or cancel their order with a full refund.

Article 7 - Payment

Payment is due upon order placement. Accepted payment methods will be specified on the Site or in communications with SPINTAO. Payment is secure and may be made by credit card, bank transfer, or other methods indicated. The order will be processed only after receipt and validation of payment. SPINTAO reserves the right to suspend or cancel any order in case of payment incident, irregular payment, or fraud.

Article 8 - Delivery

For physical products, delivery is made to the address indicated by the Customer at the time of order. Delivery times are given for information purposes only and may vary. In case of delay exceeding 30 days from the indicated delivery date, the Customer may cancel the order and obtain a refund. For digital services, access is provided electronically within the time frame specified at the time of order.

Article 9 - Right of Withdrawal

In accordance with French consumer law, the Customer has a 14-day withdrawal period from receipt of the product or acceptance of the service offer to return the product or cancel the service, without having to justify the reason or pay a penalty, except for return costs. To exercise this right, the Customer must inform SPINTAO of their decision by unequivocal statement (email to arnaud@spintao.com). In case of withdrawal, SPINTAO will refund all sums paid, including delivery costs (except additional costs if the Customer chose a delivery method other than standard), within 14 days from the date of communication of the withdrawal decision.

Exceptions: The right of withdrawal does not apply to digital content provided in full with the Customer's express prior consent and acknowledgment of loss of withdrawal right, customized products, and services fully performed with the Customer's prior express consent.

Article 10 - Warranty and Conformity

All Products sold by SPINTAO benefit from the legal warranty of conformity (Articles L217-4 to L217-14 of the French Consumer Code) and the warranty against hidden defects (Articles 1641 to 1649 of the French Civil Code). Under the legal warranty of conformity, SPINTAO is liable for any lack of conformity existing at the time of delivery and appearing within 2 years from delivery. During this period, the Customer may choose between repair or replacement of the Product, subject to cost conditions. The Customer is exempt from proving the existence of the lack of conformity during the 24 months following delivery.

Article 11 - Liability

SPINTAO's liability is limited to direct damages proven by the Customer, excluding any indirect damages such as commercial loss, loss of clientele, loss of profit, or loss of data. In any case, SPINTAO's total liability is limited to the amount paid by the Customer for the concerned Product or Service.

Article 12 - Personal Data

The processing of personal data collected as part of sales is governed by our Privacy Policy, available at this link. Data collected is necessary for order processing and management. The Customer has rights of access, rectification, deletion, and portability of their data, as well as the right to object to processing and limit it.

Article 13 - Applicable Law and Dispute Resolution

These Terms are governed by French law. In case of dispute, the Customer may, before any legal action, seek amicable resolution through SPINTAO's customer service (arnaud@spintao.com). The Customer may also use the European Commission's online dispute resolution platform: https://ec.europa.eu/consumers/odr/. In case of persistent dispute, the competent courts are those of Tours, France, unless mandatory consumer protection provisions grant jurisdiction to another court.
